Terms & Conditions

Standard commercial framework governing B2B enquiries, technical specifications, OEM custom tooling, intellectual property protection, and global export procedures.

Legal Reference & Effective Date Effective Date: January 1, 2026 · Last Updated: August 17, 2026

These Terms and Conditions ("Terms") define the legal and commercial terms under which Jagruti Steels Pvt. Ltd. ("Company," "we," "us," or "our") provides engineering specifications, OEM component manufacturing, custom tooling development, and export services to corporate buyers, brand owners, private-label importers, and industrial procurement partners ("Buyer," "you," or "your"). By accessing our commercial documentation, requesting technical quotations, submitting engineering drawings, or issuing purchase orders, you accept and agree to be bound by the terms outlined below.

1. Commercial Scope & B2B Framework

Jagruti Steels Pvt. Ltd. operates exclusively as a B2B build-to-print OEM manufacturer of stainless steel cookware and kitchenware components, including SS 430 induction base plates, pressure cooker lids, support rings, deep-drawn vessels, and multi-kadai inserts. Information presented across our digital presence serves informational and technical evaluation purposes for global trade buyers. Submission of an enquiry, RFQ (Request for Quotation), or engineering sample request does not constitute a legally binding supply contract until a formal Proforma Invoice or Purchase Order Confirmation is executed by an authorized representative of Jagruti Steels Pvt. Ltd.

2. Engineering Drawings, Specifications & Tolerances

2.1 Technical Alignment

All component dimensions, material gauges, hole perforation patterns, edge rolling profiles, and surface finishes are manufactured strictly according to the approved engineering drawing, technical datasheet, or physical sample provided by the Buyer. The Buyer is responsible for ensuring that all dimensional tolerances, metallurgical requirements, and thermal expansion compatibility factors are correctly stated prior to production sign-off.

2.2 Manufacturing Tolerances

Unless explicit custom tolerances are agreed upon in writing, standard manufacturing tolerances adhere to established Indian and International engineering press standards (BIS / ISO 2768). Gauge thickness for raw material coils (including SS 430 / EN 1.4016 and SS 304 / EN 1.4301) complies with standard mill tolerances provided by primary steel producers.

3. Material Quality, Certification & Traceability

We maintain strict metallurgical integrity across all production lines in our Mumbai and Sarigam, Gujarat facilities:

  • Raw Material Integrity: SS 430 (EN 1.4016) ferritic stainless steel utilized for induction discs is tested to verify ferromagnetic permeability, deep-drawing formability, and corrosion resistance required for thermal bonding with cookware bodies.
  • Mill Test Reports (MTRs): Chemical and mechanical Mill Test Certificates (EN 10204 Type 3.1) are issued per coil heat batch upon buyer request for incoming quality audits and international compliance files.
  • Third-Party Inspection: International buyers reserve the right to deploy nominated inspection agencies (such as SGS, TUV, or Intertek) at our plant prior to final packing and container loading.

4. Custom Tooling, Dies & Proprietary Ownership

4.1 Buyer-Funded Tooling Protection

Custom dies, progressive punches, and embossing tooling engineered specifically for a Buyer's custom drawing or brand-embossed pattern remain the exclusive property of the Buyer. Jagruti Steels Pvt. Ltd. undertakes to store, maintain, and protect buyer-owned tooling exclusively for the Buyer's recurring production orders. Buyer tooling is never utilized for third-party production runs.

4.2 Toolroom Maintenance

Standard preventive maintenance and minor tool dressing required during routine production cycles are managed within our in-house toolroom. Structural modifications requested due to Buyer design revisions are quoted separately under mutual agreement.

5. Non-Disclosure, White-Label & Confidentiality

We recognize that maintaining supply chain discretion is a critical competitive priority for global cookware brands and private-label importers. Under our standard OEM agreement:

  • All proprietary technical specifications, 3D CAD files, component geometry, and commercial volumes are kept strictly confidential.
  • White-label components are shipped without manufacturer markings or branding unless custom logo embossing is explicitly instructed by the Buyer.
  • We deliberately refrain from marketing finished consumer cookware products under our own brand, ensuring we never compete with our OEM customer base.

6. Quotations, Pricing & Payment Terms

Commercial quotations are issued based on raw material coil prices, metal exchange indices, component weight, press operation complexity, and order volume. Unless otherwise specified in writing:

  • Validity: Quotations remain valid for 30 calendar days from the date of issuance.
  • Payment Terms: Export shipments are structured under standard international commercial terms (FOB JNPT/Nhava Sheva Port, CIF, or CFR) via Irrevocable Letter of Credit (L/C at sight) or Telegraphic Transfer (T/T), as established in the order contract.
  • Currency: Commercial transactions are invoiced in US Dollars (USD), Euros (EUR), or Indian Rupees (INR) as agreed prior to order confirmation.

7. Order Execution, Lead Times & Delivery

Production lead times commence upon receipt of approved First Article inspection sign-off, approved technical drawings, and agreed commercial advance/payment security. Manufacturing timelines are scheduled across our dual plants in Mumbai, Maharashtra and Sarigam, Gujarat to balance press capacity during seasonal peak demand. Delays resulting from force majeure events, port congestion, customs clearance delays, or unannounced raw material allocation constraints by primary steel mills shall entitle the Company to a reasonable extension of delivery timelines.

8. Export Logistics & Documentation

For international buyers in the EU, Turkey, Vietnam, UAE, North America, and other global destinations, shipments originate from JNPT Port (Nhava Sheva), Mumbai, located 35 km from our primary base. Standard export shipping documentation includes:

  • Commercial Invoice and Itemized Packing List
  • Certificate of Origin (Preferential / Non-Preferential)
  • Harmonized System (HS) Code Classification (HS 7220 9090 for circle blanks; HS 7326 9099 for stamped cookware components)
  • Bill of Lading and Batch Mill Test Reports

9. Quality Assurance & Claim Procedures

Every shipment undergoes internal stage-wise press inspection, dimensional verification, and burr/flatness checks prior to export packing. In the event of a dimensional or material defect non-conformance:

  1. The Buyer must notify Jagruti Steels Pvt. Ltd. in writing within 30 days of shipment receipt at destination port, accompanied by quality inspection logs and photographic evidence.
  2. Verified non-conforming components will be rectified, replaced, or credited in accordance with mutual commercial review.
  3. Our liability is strictly limited to the invoice value of the defective component and does not extend to consequential downstream assembly costs or third-party market losses.

10. Governing Law & Dispute Resolution

These Terms, commercial contracts, and supply agreements are governed by and construed in accordance with the laws of India. Any legal dispute or claim arising from commercial transactions that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India. For export contracts, mutually agreed international commercial arbitration clauses (such as ICC rules) may be specified in individual supply agreements.
